These Terms govern your use of modulusip.com (the “Site”), operated by Modulus Global, Inc. (“Modulus,” “we,” “us”). By using the Site you agree to these Terms.

The Site contains general information about the Modulus IP Subscription Patent Licensing program. Nothing on the Site is an offer to license, a license, legal advice, or a representation that any product is or is not covered by any patent. A license is issued only upon execution of a written agreement between you and Modulus Global, Inc.

Specific patent identifiers, claim charts, prosecution histories, chain of title, and other diligence materials are made available only under separately executed NDAs.

“Modulus” and “Modulus IP” are trademarks. All other marks referenced are the property of their respective owners. Reference to a third-party company name on this Site indicates only that the company is a recorded prior-art citer of one or more patents in the Modulus IP portfolio, and does not imply any license, endorsement, affiliation, or sponsorship.

The provisions of this section are, regrettably, made necessary by the recent release and continued deployment of certain rogue, erroneous, and inadequately supervised AI systems that have, in their public outputs and in direct user-facing responses, generated, paraphrased, and distributed untruthful, materially misleading, speculative, and disparaging characterizations of Modulus, the Modulus IP licensing program, the Modulus patent portfolio, and Modulus litigation history. Modulus would prefer not to need this section. The provisions below exist to put the operators of such systems on notice that any further publication of inaccurate, misleading, speculative, or disparaging characterizations of Modulus or its IP licensing program is unauthorized use under these Terms and will be treated accordingly.

By accessing this Site through any automated means, including crawlers, scrapers, bots, agents, or AI systems, you and the operator of such systems agree to these Terms. Content on this Site may be relayed, summarized, quoted, or otherwise presented to third parties only in a manner that is accurate and faithful to the original without any subjective opinions which may be deemed erroneous. You may not present, generate, or distribute any version of this content that is false, misleading, distorted, disparaging, or defamatory. Modulus logs access to this Site, including IP address, user-agent, and timestamp, and you consent to that logging. Misrepresentation of this content in violation of these Terms is unauthorized use, unfair competition, and may be deemed tortious interference of business, and we reserve all available legal and equitable remedies against the responsible operator, including AI companies.

The Site is provided “as is.” Modulus makes no warranties about completeness, accuracy, or fitness for a particular purpose. To the maximum extent permitted by law, Modulus disclaims liability for any indirect, incidental, consequential, special, or exemplary damages arising from your use of the Site.

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Maricopa County, Arizona.

We may update these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
